VIATEC's Annual General Meeting will be a "hybrid" meeting with the option for VIATEC members to attend online OR to join the live audience at Fort Tectoria which will be followed by in-person networking. When registering, please note the ticket options: Live Audience/Networking vs. Virtual Meeting. 

VIATEC is fortunate to have an active and involved membership and to see this reflected in our 14 board seats. Ten seats on the board are reserved for Technology company representatives and each year 7 Directors are up for re-election. Plus any Directors that have served their full 3 year term (6 years). This year 8 Directors will be required. 

VIATEC is committed to enhancing equity and diversity in the tech sector in Greater Victoria. Our mandate is to cultivate the most cohesive tech community in the world, boosting a sense of belonging and shaping our region. We celebrate diversity and are committed to creating an inclusive environment for all members and employees. 

As per a unanimously approved board motion; for the foreseeable future, in-person attendance at VIATEC events requires that all attendees provide proof of full vaccination.

When possible, VIATEC will provide online options for members that can not attend in person. This policy is subject to change in response to rising COVID-19 related cases, hospitalization and/or death counts, as well as public health advisories and/or new variants.

 NOTICE OF ANNUAL GENERAL AND MEETING OF MEMBERS


NOTICE IS HEREBY GIVEN that the Annual General of the Members of the VICTORIA INNOVATION, ADVANCED TECHNOLOGY AND ENTREPRENEURSHIP COUNCIL (“VIATEC”) will be held Virtually on September 23, 2021 at the hour of 5:00 o’clock in the afternoon, for the following purposes:


(1)       To receive the minutes of the 2020 Annual General Meeting

(2)       To receive and consider the Financial statements of VIATEC and to receive the report of the auditors thereon;

(3)       To appoint auditors for the ensuing year and to authorize the directors to fix the remuneration of the auditors;

(4)       To set the number of directors and announce the newly elected new directors

(5)       To receive the report of the directors; and

(6)       To transact such further or other business as may properly come before the meeting or any adjournment thereof.

VIATEC is using SmartBallot to facilitate online voting for the 2021 Annual General Meeting.  The online voting will take place prior to the AGM. SmartBallot servers are located in Canada, and utilize end-to-end encryption.  By participating in the 2021 Annual General Meeting, you authorize VIATEC to collect and use your personal information for the purposes of identifying you and recording your votes for this Annual General Meeting, and to share that personal information with SmartBallot to the extent necessary to identify you and record your votes.

Please review the expected commitment of VIATEC Board members:

QUALIFICATIONS TO SERVE AS DIRECTOR

To serve as a Director of VIATEC, a person must:

1. Be a VIATEC member in good standing;

2. Be at least 18 years of age;

3. Be the only candidate from the member company standing for election;

4. In order for a person to be elected to the Board they must, at the time of their election, have been, or be representing an entity that has been, an active member of VIATEC for at least the past 12 months and maintain an active membership throughout their term of office.

5. In order for a person running under an Individual Membership to be elected to the Board, they must, at the time of their election, have had an active membership for at least the past 12 months and maintain an active membership throughout their term of office.

6. Review all materials sent out in advance of monthly Board meetings and attend meetings as often as possible (75% attendance required);

7. Participate in the annual strategic planning process;

8. May or may not participate in at least one Board committee (75% attendance required):

a. Finance & Audit

b. Governance

9. VIATEC Board members are required to regularly participate within the Greater Victoria tech community by utilizing their professional networks to help the organization stay apprised of current events, trends and sentiment as well as regularly attend VIATEC events and, when relevant, participate in VIATEC's programs.

  • Login and announce yourself with the Scrutineer – Georgia Cowell
  • Mute your mic afterwards
  • If you have a question, please press the raise your hand function and so you can be heard
  • For voting purposes raise your hand for votes in motion

RULES’ for Digital voting Prior to the AGM

  • An email will be sent to you asking for an account verification from SmartBallot prior to online voting opening. Your Primary contact will receive the email.  
  • When Voting opens, a second email will be sent with a secured link.
  • Only member companies have full voting privileges and only 1 vote per/company.
  • If the primary CEO cannot vote please let us know. 
  • Complete your identity verification - enter your PIN and Date of Birth. Generic emails are not considered unique.
  • Online voting will open Sept. 10th and close Sept. 17th at 4 pm, no exceptions. The winners will be announced on Sep 23, 2021 at our AGM

* Any Member can activate their profile - but only eligible voters will be able to VOTE. Eligible Voters will be issued their PIN following your profile activation and when the voting event begins for your New Board Directors.  Please note, Rob Bennett will be the Proxy Holder for this year's AGM.
